Introduction

These Terms and Conditions (hereinafter "Terms") govern the use of the SnapPay payment platform. By creating an account or using our services, you agree to be bound by these Terms. If you do not accept these terms, please do not use SnapPay.

1. Definitions

In these Terms:

  • "SnapPay" refers to the payment platform owned and operated by our company.
  • "User" or "Client" refers to any individual or entity using SnapPay.
  • "Services" refers to all payment functionalities provided by SnapPay.
  • "Transaction" refers to any payment operation conducted via SnapPay.
  • "Commission" refers to the fees applied to each successful transaction.

2. Account Creation and Management

2.1 Eligibility:

  • You must be at least 18 years old and have the legal capacity to contract.
  • Businesses must provide valid identification documents.
  • You guarantee the accuracy of information provided during registration.

2.2 Verification:

  • SnapPay reserves the right to verify your identity and business information.
  • Additional documents may be required (KYC/AML).
  • Verification processing may take up to 72 hours.

2.3 Account Security:

  • You are responsible for the confidentiality of your login credentials.
  • You must immediately notify SnapPay of any unauthorized use.
  • Two-factor authentication (2FA) is recommended.

3. Services and Pricing

3.1 Service Description:

  • Online payment processing for e-commerce websites.
  • Acceptance of multiple payment methods (mobile money, cards, bank transfers).
  • Analytical dashboard and customizable reports.
  • API for custom integrations.

3.2 Pricing:

  • Annual subscription: 10,000 FCFA (or equivalent in local currency).
  • Commissions per transaction:
    • Mobile Money: 2% to 3% depending on operator
    • Bank cards: 4%
    • Bank transfers: 1.5% (minimum 500 FCFA)
    • International payments: 4.5%
  • Additional fees: Refunds (1%), express transfers (0.5%).

3.3 Price Changes:

  • SnapPay may modify its prices with 30 days notice.
  • Changes will be notified by email and in your dashboard.
  • Prices in effect at the time of transaction apply.

4. User Obligations

You agree to:

  • Use SnapPay only for legal and authorized activities.
  • Not use the service for: fraud, money laundering, illegal activities.
  • Comply with all applicable laws (taxation, consumer protection).
  • Maintain sufficient funds to cover commissions and fees.
  • Provide accurate and up-to-date information to your customers.
  • Obtain necessary consent to process customer data.

Prohibited Activities:

  • Sale of illegal or regulated products/services without authorization.
  • High-risk activities (gambling, unregulated cryptocurrencies).
  • Adult content without appropriate age verification.
  • Infringement of intellectual property rights.

5. Transactions and Payments

5.1 Transaction Processing:

  • Transactions are processed in real-time, subject to verifications.
  • SnapPay may suspend a transaction in case of suspected fraud.
  • Transaction denial decisions are final.

5.2 Fund Settlement:

  • Funds are credited to your SnapPay account immediately.
  • Transfers to bank account: 24-48 business hours.
  • Possible holding periods for new businesses (maximum 30 days).

5.3 Refunds and Disputes:

  • Refunds are initiated from your dashboard.
  • Refund fees: 1% of refunded amount.
  • Maximum time to initiate a refund: 180 days.
  • In case of customer dispute, SnapPay may withhold related funds.

6. Limitation of Liability

7.1 Warranty Exclusion:

  • SnapPay is provided "as is", without express or implied warranties.
  • We do not guarantee continuous availability or absence of errors.
  • Our target uptime is 99.9%, but not guaranteed.

7.2 Liability Limitation:

  • SnapPay's total liability is limited to the amount of commissions paid over the last 6 months.
  • Exclusion of liability for indirect losses, lost profits, data loss.
  • Not responsible for third-party actions (mobile operators, banks).

7.3 Indemnification:

  • You indemnify SnapPay against any claim related to your use of the service.
  • Including violations of laws, intellectual property rights, fraud.

7. Suspension and Termination

8.1 By User:

  • You may terminate at any time from your dashboard.
  • No refund of paid annual subscription.
  • You retain access to your historical data for 30 days after termination.

8.2 By SnapPay:

  • We may suspend or terminate immediately in case of:
    • Violation of Terms or illegal activities
    • Suspicion of fraud or money laundering
    • Non-payment of commissions
    • Activities endangering system security
  • In case of termination for cause, funds may be held for 180 days.

8. Data Protection

The processing of personal data is governed by our Privacy Policy which is an integral part of these Terms.

  • SnapPay is PCI DSS Level 1 certified.
  • GDPR compliance for EU users.
  • We apply privacy by design and privacy by default principles.

9. General Provisions

9.1 Governing Law:

  • These Terms are governed by the laws of your country of primary residence.
  • For businesses, the law of the country of incorporation applies.

9.2 Dispute Resolution:

  • Mandatory attempt at amicable resolution (30 days).
  • If unsuccessful, exclusive jurisdiction of competent courts.
  • EU users may use the European Commission's online dispute resolution platform.

9.3 Terms Modification:

  • SnapPay may modify these Terms with 30 days notice.
  • Changes will be notified by email and on the platform.
  • In case of disagreement, you must terminate your account before the effective date.

9.4 Severability:

  • If a clause is invalid, other clauses remain in effect.
  • The invalid clause will be replaced by a valid clause of equivalent meaning.

9.5 Force Majeure:

  • Not responsible for delays/deficiencies due to events beyond our control.
  • Including: natural disasters, wars, strikes, network failures.
